SMALL-CONTRACTOR BUYER TERMS

(Click-Through Agreement – Prepaid)

These Buyer Terms (“Terms”) govern your purchase of leads, calls, or other consumer inquiries (“Traffic”) from Leadgen Network Organization, Inc., d/b/a Billy.com (“Billy.com”).

By creating an account, funding your balance, launching a campaign, or otherwise purchasing Traffic, you agree to these Terms.

1. What Billy.com Provides

Billy.com provides consumer inquiries only.
We are not the service provider and do not perform, guarantee, or control the services you offer to consumers.

Traffic reflects a consumer’s interest at the time it was generated only.

2. No Guarantees

Billy.com does not guarantee:

  • conversions

  • sales

  • revenue

  • job size

  • consumer eligibility

  • exclusivity

Results depend on many factors outside our control, including your responsiveness, pricing, and service quality.

3. How You May Use Traffic

You may use Traffic only to respond to the specific consumer inquiry related to your campaign.

You may not:

  • resell or share Traffic

  • provide Traffic to affiliates, partners, or other businesses

  • build or reuse lists from Traffic

  • contact consumers for unrelated marketing

  • imply you represent Billy.com

Traffic is for your internal business use only.

4. Your Responsibilities

You represent and agree that:

  • you are properly licensed and authorized to provide your services

  • you will comply with all applicable laws, including consumer protection and privacy laws

  • you will communicate honestly and professionally with consumers

  • you will not misrepresent Billy.com or the nature of the inquiry

You are solely responsible for all interactions with consumers.

5. Prepaid Accounts & Payment

  1. Prepaid Only
    All purchases are prepaid. You must maintain a positive balance to receive Traffic.

  2. No Extensions or Net Terms
    We do not offer credit, invoicing, or delayed payment for small-contractor accounts.

  3. Billing Source of Truth
    Billy.com’s reporting controls for billing purposes.

  4. No Refunds
    All sales are final unless Billy.com approves a credit in writing.

6. Disputes & Quality Feedback

You may flag Traffic for quality feedback or duplicate review inside the platform.

Quality feedback:

  • does not pause billing

  • does not guarantee a credit

  • does not create a refund right

Credits, if any, are discretionary.

7. Suspension & Account Controls

Billy.com may suspend or limit Traffic delivery if:

  • your balance is insufficient

  • misuse of Traffic is suspected

  • your account creates legal or reputational risk

  • these Terms are violated

We may also require account changes to protect the platform.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Billy.com is not liable for indirect or consequential damages

  • Billy.com’s total liability, if any, is limited to the amount you paid to Billy.com in the 30 days prior to the event giving rise to the claim

9. Indemnification

You agree to indemnify and hold harmless Billy.com from any claims or costs arising from:

  • your use of Traffic

  • your services or representations

  • your communications with consumers

  • your violation of these Terms or applicable law

10. Confidentiality & Non-Circumvention

You may not:

  • share Billy.com pricing or systems

  • attempt to identify or contact Billy.com suppliers

  • bypass the platform to avoid fees

11. Termination

You may stop buying at any time by pausing campaigns.

Billy.com may suspend or terminate accounts that violate these Terms or create risk.

Payment obligations and key protections survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Michigan, with exclusive venue in Michigan courts.

13. Acceptance

By clicking “I Agree,” creating an account, or purchasing Traffic, you agree to be bound by these Terms.
